1. Agreement to Terms
Welcome to MeetingRoomHQ, a meeting room booking service operated by Tibera LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Tibera LLC.
By accessing or using our website and services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Eligibility
MeetingRoomHQ is intended for business use by individuals who are at least 18 years of age. By using our Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Description of Service
MeetingRoomHQ provides a cloud-based platform for organizations to manage and book meeting rooms. Our Service includes:
- Meeting room scheduling and availability management
- Multi-office and multi-room support
- Team workspace management with invite codes
- Calendar integration and booking notifications
- Administrative tools for workspace configuration
- Email notifications and reminders
4. User Accounts
To use MeetingRoomHQ, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your information to keep it accurate
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.
5. Company Workspaces
MeetingRoomHQ allows organizations to create company workspaces. Workspace administrators are responsible for:
- Managing user access and permissions within their workspace
- Ensuring team members comply with these Terms
- Maintaining accurate room and office configurations
- Safeguarding invite codes and controlling workspace access
- Managing and removing users as appropriate
We are not responsible for disputes between workspace administrators and their team members, or for any actions taken by users within a workspace.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the Service or its systems
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated scripts, bots, or other tools to access the Service without permission
- Transmit any viruses, malware, or other malicious code
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest any information from the Service without authorization
- Use the Service to send spam or unsolicited communications
- Abuse, harass, or threaten other users
- Circumvent any access controls or usage limits
7. Intellectual Property
The MeetingRoomHQ Service, including its design, features, content, and underlying technology, is owned by Tibera LLC and protected by intellectual property laws. You may not:
- Copy, modify, or distribute any part of our Service without permission
- Reverse engineer or attempt to extract the source code of our software
- Use our trademarks, logos, or branding without written consent
- Create derivative works based on our Service
- Remove or alter any proprietary notices or labels
8. User Content
You retain ownership of any content you submit to the Service (such as meeting titles, descriptions, and room names). By submitting content, you grant us a limited, non-exclusive license to store, display, and process that content solely for the purpose of providing the Service.
You are solely responsible for your content and represent that you have the right to submit it and that it does not violate any third-party rights or applicable laws.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
10. Service Availability
We strive to maintain high availability of our Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control including but not limited to internet outages, server failures, or force majeure events. We are not liable for any loss or inconvenience caused by service interruptions.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. You use the Service at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE ARE NOT LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS OR $100
These limitations apply regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless Tibera LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content submitted to the Service.
14. Termination
You may terminate your account at any time by contacting us. We may terminate or suspend your access to the Service:
- Immediately for violation of these Terms
- For conduct that we believe is harmful to other users, us, or third parties
- For suspected fraud or illegal activity
- For any reason at our sole discretion with reasonable notice
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
15. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Tibera LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court, except that either party may seek injunctive relief in court for violations of intellectual property rights.
Class Action Waiver: You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware or another mutually agreed location.
Opt-Out: You may opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms to: legal@meetingroomhq.com with the subject line "Arbitration Opt-Out."
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the United States, without regard to conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
17. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
18. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tibera LLC regarding the use of MeetingRoomHQ and supersede any prior agreements.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Electronic Communications: By using the Service, you consent to receive electronic communications from us. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
